(d) Any action, communication, assertion, enforcement action, licensing transaction, or other act taken by any Subsidiary of AIM is the sole act of that Subsidiary as an independent legal entity, and shall not be attributed to, imputed to, or deemed to be an act of AIM.
(e) Nothing on this Site shall be construed as an assertion, offer, or license of any patent, intellectual property right, or other right by AIM itself.

The domain www.ascendip.com is owned by Ascend IP, LLC, a separate and distinct legal entity from AIM and its Subsidiaries. AIM and/or one or more of its Subsidiaries may use the domain www.ascendip.com pursuant to a license granted by Ascend IP, LLC to such entities for that purpose.
By accessing or using this Site, you acknowledge and agree to each of the following:
(a) Any communication that originates from or is received at www.ascendip.com sent to or by AIM or any of its Subsidiaries is a communication to or on behalf of AIM or the relevant Subsidiary, as applicable, and not a communication of Ascend IP, LLC.
(b) All such communications remain the property, confidential information, and/or privileged communication of, or work product of the entity to whom or on whose behalf the communication is directed or made i.e., AIM or the relevant Subsidiary and not of Ascend IP, LLC.
(c) The fact that a communication is transmitted through or associated with the www.ascendip.com domain does not make Ascend IP, LLC a party to, or responsible for, such communication, nor does it vest any rights in Ascend IP, LLC with respect to such communication.
(d) Any confidentiality, privilege, or work-product protection attaching to such communications inures to AIM or the relevant Subsidiary, as applicable, and may be asserted by such entity.
5. Indemnification; Defense and Hold Harmless
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS AIM AND ITS MANAGERS, MEMBERS, OWNERS, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, ATTORNEYS, SUCCESSORS, ASSIGNS, AND AFFILIATES (COLLECTIVELY, "INDEMNIFIED PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, PROCEEDINGS, LOSSES, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATED TO:
(a) Any claim or allegation that AIM has communicated, asserted, offered to license, or otherwise invoked any patent right, patent defense, or intellectual property right of any kind;
(b) Any claim that a communication by or on behalf of any Subsidiary of AIM constitutes or should be attributed to a communication by AIM itself, rather than the Subsidiary;
(c) Your access to or use of the Site in violation of these Terms;
(d) Your violation of any applicable law, regulation, or third-party right in connection with Your use of the Site;
(e) Any content, information, or materials You submit to or through the Site; or
(f) Your breach of any representation, warranty, or obligation under these Terms.
This indemnification obligation shall survive termination of these Terms and Your use of the Site.

13. Dispute Resolution; Waiver of Jury Trial
YOU AND AIM EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF THESE TERMS, THE SITE, OR YOUR USE THEREOF, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
